1. Introduction and Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the websites, applications, and online services operated by The Scholars' Room, a private academic tutoring service based in Bridgeport, Connecticut. These Terms apply to the following platforms (collectively, the "Services"):

By accessing or using any of the Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Services. If you are accessing the Services on behalf of a minor (a person under 18 years of age), you represent that you are the parent or legal guardian of that minor and that you accept these Terms on their behalf.

2. Eligibility

The Services are designed to support academic tutoring for students in Grades 2 through 12. The following eligibility requirements apply:

  • Parents and guardians: Any parent or legal guardian may access the Services to explore our offerings, submit an intake form, review their child's academic data through the parent portal, sign contracts, and manage billing.
  • Students: Students access the diagnostic platform and workspace using accounts created exclusively by the administrator (tutor). Students under 18 may only use the Services with the consent and under the supervision of a parent or legal guardian. Students do not create their own accounts.
  • General visitors: Any person may visit the public website (thescholarsroom.com) to learn about our services and submit an inquiry.

3. Accounts and Credentials

3.1 Account Creation

All student and parent accounts on the diagnostic platform are created by the administrator. Students receive system-generated usernames and temporary passwords. Students are required to change their temporary password upon first login. Parents receive login credentials via a welcome email sent to the email address provided during intake.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity that occurs under your account
  • Notifying us immediately at info@thescholarsroom.com if you become aware of any unauthorized access to or use of your account

We are not liable for any loss or damage arising from your failure to maintain the security of your account credentials. Do not share login information with anyone other than the authorized account holder.

3.3 Account Termination

We reserve the right to suspend or terminate any account at our discretion if we reasonably believe the account is being used in violation of these Terms, if the associated tutoring agreement has been terminated, or if the account has been inactive for more than twelve (12) months. We will make reasonable efforts to notify you before terminating an active account.

4. Acceptable Use

When using the Services, you agree not to:

  • Access or attempt to access another user's account, data, or assessment results without authorization
  • Share, distribute, photograph, screenshot, or reproduce diagnostic assessment questions, content, or results outside of the platform
  • Use automated tools, bots, scrapers, or scripts to access or interact with the Services
  • Attempt to reverse engineer, decompile, or disassemble any part of the platform's software or algorithms
  • Upload or transmit any malicious code, viruses, or harmful content through the platform
  • Use the Services for any purpose other than their intended educational and tutoring purpose
  • Submit false, misleading, or fraudulent information through any form or portal
  • Interfere with or disrupt the integrity or performance of the Services

Violation of these rules may result in immediate suspension or termination of your access to the Services without prior notice.

5. Assessment Integrity

Our diagnostic assessments and Scholar Snapshots are designed to accurately measure a student's current academic standing and growth over time. To ensure the integrity and usefulness of these assessments:

  • Students are expected to complete all assessments independently, without assistance from parents, siblings, tutors (other than as directed by The Scholars' Room), or external resources such as calculators, textbooks, or the internet, unless expressly permitted by the assessment instructions.
  • Parents and guardians agree not to coach, prompt, or provide answers to students during assessments.
  • If we have reasonable grounds to believe that an assessment was not completed independently, we reserve the right to invalidate the results and administer a replacement assessment.

The purpose of these assessments is to identify strengths and gaps so that instruction can be tailored effectively. Inaccurate results undermine the quality of the tutoring plan and are ultimately a disservice to the student.

6. Intellectual Property

6.1 Our Proprietary Content

All content, materials, and technology provided through the Services are the exclusive property of The Scholars' Room or its licensors. This includes, but is not limited to:

  • Diagnostic assessment question banks (Math and ELA, all grade levels)
  • Scholar Snapshot assessment content and scoring algorithms
  • The FOCUS Method instructional framework and associated materials
  • Adaptive difficulty algorithms and assessment logic
  • Progress report templates, treatment plans, and curriculum materials
  • The platform's user interface, design, and source code
  • The Scholars' Room name, logo, and branding elements
  • All workspace tools, templates, and educational resources

You may not copy, modify, distribute, sell, license, or create derivative works from any of the above without our prior written consent. Unauthorized use of our intellectual property may result in termination of access and legal action.

6.2 Your Content

Any content you or your child submit through the Services — including assessment responses, workspace board contributions, survey responses, and communication through the platform — remains your property. By submitting content, you grant The Scholars' Room a limited, non-exclusive, non-transferable license to use that content solely for the purpose of providing and improving our tutoring services. We will not use your content for any commercial purpose unrelated to your tutoring engagement.

7. Nature of Services

The Scholars' Room provides private academic tutoring and diagnostic assessment services. It is important to understand the scope and limitations of what we offer:

  • Our diagnostic assessments are educational tools designed to identify academic strengths and gaps. They are not clinical, psychological, or neuropsychological evaluations and should not be used as a substitute for professional testing or diagnosis.
  • Our tutoring services do not constitute special education services and do not replace an Individualized Education Program (IEP), 504 Plan, or any services provided by a school district. If your child receives school-based accommodations, our tutoring is intended to supplement, not replace, those services.
  • We do not provide medical care, mental health treatment, counseling, or therapy of any kind.
  • While we design instruction to support academic growth, we do not guarantee specific academic outcomes, including but not limited to improved grades, test scores, school placement, or college admission.

8. On-Demand Tutoring Services

In addition to our standard enrolled tutoring program, The Scholars' Room offers on-demand live tutoring sessions through the Live Platform at live.thescholarsroom.com. The following terms apply specifically to on-demand session bookings.

8.1 Session Booking

On-demand tutoring sessions are booked by the parent or guardian through the Live Platform. By booking a session, you confirm that you are an enrolled client with an active account and that the session is for a currently enrolled student. Session availability is displayed in real time and is not guaranteed until a booking confirmation is issued by the system.

8.2 Billing

On-demand sessions are billed through Stripe at the time of booking. By booking a session, you authorize The Scholars' Room to charge the applicable session fee to the payment method stored on your account. You agree to Stripe's Terms of Service and Privacy Policy, which govern the processing of your payment information. The Scholars' Room does not store full payment card numbers on our systems.

8.3 Cancellation and No-Show Policy

  • 24+ hours notice: Full session credit applied to your account.
  • Less than 24 hours notice: 50% of the session fee is retained as a late cancellation fee; the remaining 50% is credited to your account.
  • No-show (student is 15 or more minutes late without prior notice): The full session fee is forfeited.
  • Tutor cancellation: If The Scholars' Room cancels a confirmed session, you will receive a full credit or may request a reschedule at no additional cost.

8.4 Refund Policy

On-demand session fees are non-refundable except in the following circumstances:

  • Platform failure: If a session cannot be conducted due to a platform-side technical failure, a full refund will be issued within 5–10 business days.
  • Tutor cancellation: If The Scholars' Room cancels a confirmed session and you prefer a refund over a credit, a full refund will be issued within 5–10 business days.
  • Billing errors: If you believe you were charged in error, contact us at info@thescholarsroom.com within thirty (30) days of the charge. Verified billing errors will be corrected promptly.

Initiating a chargeback with your payment provider without first contacting The Scholars' Room to resolve the issue may result in suspension of your account pending review.

8.5 Session Interruptions

The Scholars' Room is not responsible for session interruptions caused by the client's internet connection, device issues, or other circumstances on the client's side. In the event of an interruption:

  • If the interruption occurs within the first ten (10) minutes of the session, a full reschedule will be offered at no additional cost.
  • If the interruption occurs after ten (10) or more minutes of the session have been completed, a prorated credit will be applied for the undelivered portion of the session.

8.6 Session Recording

On-demand sessions are not recorded by default. A session will only be recorded if the parent or guardian provides explicit pre-session recording consent through the booking flow, in accordance with Connecticut General Statutes § 52-570d. Declining to provide recording consent does not affect your ability to access or participate in the session. For full details on our recording consent process and data retention practices, please see Privacy Policy Section 5.5.

9. Service Availability

We strive to maintain the availability and reliability of the Services, but we cannot guarantee uninterrupted or error-free access. The Services may be temporarily unavailable due to:

  • Scheduled maintenance or updates to the platform
  • Unplanned technical issues, server outages, or infrastructure failures
  • Circumstances beyond our reasonable control (see Section 15, Force Majeure)

We will make reasonable efforts to notify users of planned downtime in advance. We are not liable for any loss, inconvenience, or inability to access assessments, reports, or other data resulting from service interruptions. If a scheduled assessment or tutoring session is disrupted by a platform outage, we will work with the family to reschedule at no additional cost.

10. Privacy

Your use of the Services is also governed by our Privacy Policy at thescholarsroom.com/privacy, which describes how we collect, use, store, and protect your personal information and your child's personal information. The Privacy Policy is incorporated into these Terms by reference.

By using the Services, you acknowledge that you have read and understand our Privacy Policy. If you are a parent or guardian of a student under 13, our collection and use of your child's information is subject to the Children's Online Privacy Protection Act (COPPA), and we obtain verifiable parental consent as described in our Privacy Policy and Tutoring Services Agreement.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Without limiting the foregoing, The Scholars' Room does not warrant that:

  • The Services will be uninterrupted, timely, secure, or error-free
  • Assessment results will be perfectly accurate in every instance
  • The Services will meet your specific expectations or requirements beyond what is described in your Tutoring Services Agreement
  • Any defects in the Services will be corrected within a specific timeframe

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SCHOLARS' ROOM, ITS OWNER, AND ITS SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of data, academic records, or assessment results
  • Decisions made based on diagnostic assessment results or progress reports
  • Academic outcomes, grade changes, or school placement decisions
  • Emotional distress related to assessment performance
  • Lost profits or business interruption

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO THE SCHOLARS' ROOM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless The Scholars' Room and its owner from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your violation of these Terms
  • Your use of the Services in a manner not authorized by these Terms
  • Your violation of any applicable law or regulation
  • Any content you submit through the Services that infringes on the rights of a third party

14. Dispute Resolution

We believe that most concerns can be resolved through open communication. If a dispute arises between you and The Scholars' Room relating to these Terms or the Services, the following process shall apply:

14.1 Informal Resolution

You agree to first contact us at info@thescholarsroom.com to attempt to resolve the dispute informally. We will make good-faith efforts to address your concern within fourteen (14) days of receiving your written notice.

14.2 Mediation

If the dispute cannot be resolved informally within thirty (30) days, either party may request non-binding mediation. Mediation shall be conducted by a mutually agreed-upon mediator in Fairfield County, Connecticut, or remotely by mutual agreement. Each party shall bear its own costs, and the cost of mediation shall be shared equally.

14.3 Binding Resolution

If mediation is unsuccessful, either party may pursue resolution through the courts of the State of Connecticut. For claims within the jurisdictional limits, either party may file in small claims court in the judicial district of Fairfield, Connecticut. For claims exceeding those limits, the dispute shall be resolved in the Superior Court of Connecticut, Judicial District of Fairfield.

14.4 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class action, consolidated action, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against The Scholars' Room.

15. Force Majeure

The Scholars' Room shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, pandemics or public health emergencies, government actions or orders, internet or telecommunications failures, power outages, hosting provider outages, cyberattacks, or acts of war or terrorism.

In the event of a force majeure occurrence, we will make reasonable efforts to notify affected users and resume normal service as soon as practicable. Any tutoring sessions or assessments affected by a force majeure event will be rescheduled at no additional cost.

16. Data Breach Notification

In the event of a security breach affecting personal information stored on the Services, we will:

  • Notify affected users without unreasonable delay and no later than sixty (60) days from discovery of the breach, in compliance with Connecticut General Statutes § 36a-701b
  • Notify the Connecticut Attorney General concurrently with user notification
  • Provide details about the nature of the breach, the categories of information affected, and steps we are taking to address it
  • Offer appropriate remedial measures, which may include credit monitoring services if Social Security numbers or taxpayer identification numbers are involved

17. Third-Party Services

The Services may rely on or integrate with third-party services for hosting, email delivery, payment processing, and other operational functions. These third-party services are governed by their own terms of service and privacy policies. We are not responsible for the practices or availability of any third-party services.

Our current third-party service providers include:

  • Railway — Application hosting and database infrastructure, including the Live Platform
  • Resend — Transactional email delivery
  • Netlify — Public website hosting
  • Stripe — Payment processing for on-demand session billing and subscription management

If the Services link to any external websites or resources, those links are provided for convenience only. We do not endorse and are not responsible for the content, accuracy, or practices of any external sites.

18. Modifications to These Terms

We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. When we make changes:

  • We will post the updated Terms on our website with a revised "Last Updated" date.
  • For material changes, we will notify registered users via email at least thirty (30) days before the changes take effect.
  • Your continued use of the Services after the updated Terms take effect constitutes your acceptance of the revised Terms.
  • If you disagree with any changes, you must stop using the Services and may request account deletion by contacting us at info@thescholarsroom.com.

19. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Connecticut, without regard to its conflict of law principles. You agree that any legal action or proceeding arising under or relating to these Terms shall be brought exclusively in the courts located in Fairfield County, Connecticut.

20. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms remain in full force and effect.

21. Entire Agreement

These Terms, together with the Privacy Policy and any Tutoring Services Agreement you have signed with The Scholars' Room, constitute the entire agreement between you and The Scholars' Room with respect to the subject matter herein. In the event of a conflict between these Terms and the Tutoring Services Agreement:

  • The Tutoring Services Agreement shall control with respect to the provision of tutoring services.
  • These Terms shall control with respect to your use of the online platform and digital Services.
